Donald Stoecklein is the managing director of Stoecklein Law Group and a Director and President of the Securities Law Institute. Mr Stoecklein has extensive experience with representing micro-cap and small-cap publicly traded companies. For over three decades, Mr. Stoecklein has been active in all legal aspects of representing publicly traded companies, from assisting them with executing and developing their business plan to listing their securities on a national exchange. He plays a strategic role for clients by structuring registered equity and debt public offerings, PIPEs, equity lines, convertible debentures, venture capital and mezzanine financing. Additionally, Mr. Stoecklein oversees the preparation of registration statements with the SEC, preparation and filing of quarterly and annual reports with the SEC, along with handling board and stockholder meetings. Mr.Stoecklein provides practical business-oriented solutions to his clients' problems, focusing on accomplishing their objectives effectively and efficiently.Mr. Stoecklein received his B.S. in Economics from the University of San Diego., J.D. from Thomas Jefferson Law School in 1975 and was admitted to the California Bar in 1976. Dan Van Ness is the Chief Operations Officer at Stoecklein Law Group. Mr. Van Ness manages all IT operations, oversees Blue Sky compliance and organizes new stock issuances. He also assists in the drafting of transactional documents, researching Rule 144 issues, assisting with filings with the Securities and Exchange Commission and conducting legal research.Mr. Van Ness obtained a Bachelor of Arts in Broadcast Production from Minot State University, and is currently a third year law student at Thomas Jefferson School of Law. Jennifer Trowbridge is a Law Clerk and Paralegal in our office assisting with drafting transactional documents, Securities and Exchange Commission filings, and researching Rule 144 restricted stock legal opinion issues. Jennifer has a Bachelor of Arts in Organizational Leadership from Chapman University, and graduated with Honors from the University of San Diego’s Paralegal Program. She is currently a third year law student at Thomas Jefferson School of Law where she has received the Pro Bono Honors Certificate for 2010, Jefferson Medal Award, CALI Award for Academic Excellence and the Witkin Award for Academic Excellence in Constitutional Law and The Role of Small Business in Community Economic Development. She was an intern at the Employee Rights Center where she represented clients at administrative hearings for unemployment appeals. Raquel Vazquez has been with Stoecklein Law Group since 2001. Raquel serves clients in all aspects of securities law compliance, mergers, acquisitions and public and private offerings, under the direction and supervision of Mr. Stoecklein. Her broad experience includes: assisting public companies with respect to compliance under the Securities Act of 1933 and the Exchange Act of 1934; assisting companies with the preparation of periodic reports and proxy statements; drafting merger and acquisition agreements and helping with the closing of transactions, drafting public offerings of securities, and drafting of private placements of securities; corporate governance compliance; Sarbanes-Oxley compliance; OTC:BB/FINRA compliance and general corporate matters including drafting of employment agreements. Brandon W. Lane, originally born in Houston, Texas, attended San Diego State University where he graduated Summa Cum Laude in 2007 with a Bachelor’s Degree in Social Science with an emphasis on the Environment. In 2010, Mr. Lane completed an ABA approved paralegal certificate at the University of San Diego focusing his studies on Business Litigation. It was during his externship with the paralegal program that he became a part of the Stoecklein Law Group team. Mr. Lane’s work experience and professions range from several occupations. Initially, as a college graduate Mr. Lane worked for San Diego Natives, a small business primarily devoted to habitat restoration and native landscaping, from May 2007 to May 2008. With this company, Mr. Lane helped restore a local San Diego canyon by removing invasive plant species, and later replacing them with native flora and fauna. In addition, Mr. Lane worked as a as consultant for Davey Resource Group, primarily as an arborist on a contractual basis for San Diego Gas & Electric, from May 2008 to December 2009. Email me!
Matt Kalen joined Stoecklein Law group initially as an intern in the fall of 2010 and came on board full time in early 2011 after having completed the paralegal program at the University of San Diego. Originally from Richmond, Virginia, he relocated to San Diego after graduating from James Madison University in 2005. Gisela Stoecklein Van Ness has been with Stoecklein Law Group since 2003 where she began her tenure as a billing assistant. Since 2008, Giesla has managed the office’s accounting and billing departments, as well as assisting in office management. Gisela graduated from the University of Nevada Las Vegas with a Bachelor of Arts in Mass Communication with a minor in Hotel Management. Email me!
